Agreement Scope

These Terms of Service govern all websites operated by Jadapex Performance Commerce Agency and partner brands within the agency portfolio. The terms "we," "us," and "our" refer to Jadapex LLC and the specific brand through which the customer is transacting.

All information, tools, and services available through agency-operated platforms are provided conditional upon acceptance of all terms, conditions, policies, and notices stated herein.

Agreement Formation:

Site visitation or purchase completion constitutes binding agreement to these terms and conditions, including all additional terms, conditions, and policies referenced or available via hyperlink. These Terms of Service apply to all site users, including browsers, vendors, customers, and merchants.

Terms Review Requirement:

Careful review of Terms of Service is required before website access or service usage. Disagreement with any terms prohibits website access and service usage.

Terms Updates:

New features or tools added to current stores are subject to these Terms of Service. The most current version is available on the Terms of Service page at all times.

Jadapex and partner brands reserve the right to update, change, or replace any Terms of Service portion through website posting. Periodic review of this page for changes is the customer's responsibility. Continued website usage or service access following change posting constitutes acceptance of those changes.

Platform Provider:

All brand stores are hosted on Shopify Inc., which provides the e-commerce platform enabling product and service sales.

Section 1 - Online Store Terms

Terms of Service agreement represents that the customer either:

• Has reached the age of majority in their state or province of residence, OR

• Has reached the age of majority and has provided consent for minor dependent site usage

Products may not be used for illegal or unauthorized purposes. Service usage must comply with all applicable jurisdictional laws (including copyright laws).

Section 2 - Accuracy, Completeness, and Timeliness of Information

Jadapex and partner brands are not responsible for inaccurate, incomplete, or outdated information available on platforms. Site material is provided for general information purposes only and should not be the sole basis for decision-making without consulting primary, more accurate, complete, or timely information sources. Material reliance is at the customer's own risk.

Sites may contain historical information, which is provided for reference only and is not current. While site content modification rights are reserved, no obligation exists to update site information. Customers are responsible for monitoring site changes.

Section 3 - Modifications to Services and Prices

Product prices are subject to change without notice.

Service modification or discontinuation rights (in whole or in part) are reserved without notice at any time. No liability exists to customers or third parties for modifications, price changes, suspensions, or service discontinuance.

Section 4 - Products or Services

Certain products or services may be available exclusively online through websites. These may have limited quantities and are subject to return or exchange according to established Return Policies.

Product Representation:

Every effort is made to display accurate product colors and images. Computer monitor color display accuracy cannot be guaranteed.

Sales Limitations:

Rights are reserved (without obligation) to limit product or service sales to any person, geographic region, or jurisdiction. This right may be exercised case-by-case. Quantity limitations on offered products or services are reserved. All product descriptions and pricing are subject to change at any time without notice at sole discretion. Product discontinuation rights are reserved at any time. Offers made on platforms are void where prohibited.

Quality Warranty:

No warranty exists that purchased product, service, information, or material quality will meet expectations, or that service errors will be corrected.

Section 5 - Accuracy of Billing and Account Information

Order Management:

Rights are reserved to refuse any placed order. In sole discretion, purchase quantity limitations or cancellations per person, household, or order may be implemented. These restrictions may include orders placed under the same customer account, credit card, or billing/shipping address. For order changes or cancellations, notification attempts will be made via email and/or billing address/phone number provided at order time. Rights are reserved to limit or prohibit orders that appear to be placed by dealers, resellers, or distributors in sole judgment.

Account Information Accuracy:

Customers agree to provide current, complete, and accurate purchase and account information for all store purchases. Prompt updating of account information (including email address, credit card numbers, and expiration dates) is required to enable transaction completion and necessary contact.

Section 6 - Optional Tools

Access to third-party tools over which Jadapex and partner brands have no monitoring, control, or input may be provided.

Such tool access is provided "as is" and "as available" without warranties, representations, conditions, or endorsements. No liability exists arising from or relating to optional third-party tool usage.

Optional tool usage is entirely at customer risk and discretion. Customers should ensure familiarity with and approval of terms provided by relevant third-party providers.

Future new services and/or features may be offered through websites (including new tools and resources). Such new features and/or services shall be subject to these Terms of Service.

Section 7 - Third-Party Links

Content, products, and services available via platforms may include materials from third parties.

Third-party links may direct to non-affiliated websites. Jadapex and partner brands are not responsible for examining or evaluating content or accuracy and do not warrant third-party materials, websites, or other materials, products, or services.

No liability exists for harm or damages related to purchase or use of goods, services, resources, content, or other transactions with third-party websites. Careful review of third-party policies and practices is required before transaction engagement. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third party.

Section 8 - User Comments, Feedback, and Other Submissions

Specific submission requests (contest entries) or unsolicited creative ideas, suggestions, proposals, plans, or other materials (collectively "comments") sent via any medium grant permission for unrestricted editing, copying, publishing, distributing, translating, and usage in any medium at any time. No obligations exist to:

1. Maintain comments in confidence

2. Provide compensation for comments

3. Respond to comments

Content monitoring, editing, or removal rights exist (without obligation) for content determined to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable, or in violation of intellectual property or these Terms of Service.

Comment Requirements:

Comments must not violate third-party rights (including copyright, trademark, privacy, personality, or other personal or proprietary rights). Comments must not contain libelous, unlawful, abusive, or obscene material, or computer viruses or other malware affecting service operation or related websites. False email addresses, identity misrepresentation, or misleading origin information regarding comments is prohibited. Customers are solely responsible for comments and their accuracy. No responsibility or liability is assumed for comments posted by any party.

Section 9 - Personal Information

Personal information submission through stores is governed by established Privacy Policies.

Section 10 - Errors, Inaccuracies, and Omissions

Information on platforms or in services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, and availability. Rights are reserved to correct errors, inaccuracies, or omissions, and to change or update information or cancel orders if service information or related website information is inaccurate at any time without prior notice (including after order submission).

No obligation exists to update, amend, or clarify service or related website information (including pricing information), except as required by law. No update or refresh date applied in services or on related websites indicates that all information has been modified or updated.

Section 11 - Prohibited Uses

In addition to other prohibitions in Terms of Service, site or content usage is prohibited for:

• (a) Unlawful purposes

• (b) Soliciting others to perform or participate in unlawful acts

• (c) Violating international, federal, provincial, state regulations, rules, laws, or local ordinances

• (d) Infringing upon or violating intellectual property rights (ours or others')

• (e) Harassment, abuse, insult, harm, defamation, slander, disparagement, intimidation, or discrimination based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability

• (f) Submitting false or misleading information

• (g) Uploading or transmitting viruses or malicious code affecting service functionality or operation

• (h) Collecting or tracking personal information of others

• (i) Spamming, phishing, pharming, pretexting, spidering, crawling, or scraping

• (j) Obscene or immoral purposes

• (k) Interfering with or circumventing security features of services, related websites, other websites, or the Internet

Service usage or related website access termination rights are reserved for prohibited use violations.

Section 12 - Disclaimer of Warranties; Limitation of Liability

No guarantees, representations, or warranties exist that service usage will be uninterrupted, timely, secure, or error-free.

No warranty exists that service usage results will be accurate or reliable.

Service removal for indefinite periods or service cancellation at any time without notice may occur.

Service usage or inability to use service is at sole customer risk. Services and all products and services delivered are provided "as is" and "as available" (except as expressly stated) without representations, warranties, or conditions of any kind (express or implied), including implied warranties or conditions of merchantability, merchantable quality, fitness for particular purpose, durability, title, and non-infringement.

Jadapex, partner brands, and related directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers, or licensors shall not be liable for injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind (including lost profits, lost revenue, lost savings, loss of data, replacement costs, or similar damages), whether based in contract, tort (including negligence), strict liability, or otherwise, arising from service usage or products procured using services, or for any other claim related to service or product usage (including errors or omissions in content, or loss or damage from service usage or content posted, transmitted, or otherwise made available via services), even if advised of possibility. In jurisdictions not allowing consequential or incidental damage exclusion or limitation, liability shall be limited to maximum extent permitted by law.

Section 13 - Indemnification

Customers agree to indemnify, defend, and hold harmless Jadapex LLC, partner brands, and related parents, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees from any claim or demand (including reasonable attorneys' fees) made by third parties due to or arising from Terms of Service breaches, incorporated document breaches, or law violations or third-party rights violations.

Section 14 - Severability

If any Terms of Service provision is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law. The unenforceable portion shall be deemed severed from Terms of Service. Such determination shall not affect validity and enforceability of remaining provisions.

Section 15 - Termination

Obligations and liabilities incurred prior to termination date survive termination for all purposes.

Terms of Service remain effective unless terminated by either party. Customers may terminate Terms of Service by notifying the brand of discontinuing service usage or ceasing site usage.

If customer failure or suspected failure to comply with any Terms of Service term or provision occurs in sole brand judgment, agreement termination may occur at any time without notice. Customers remain liable for all amounts due up to and including termination date and may be denied service access (in whole or in part).

Section 16 - Entire Agreement

Failure to exercise or enforce any Terms of Service right or provision does not constitute waiver of such right or provision.

These Terms of Service and any posted policies or operating rules constitute the entire agreement and understanding between parties and govern service usage, superseding any prior or contemporaneous agreements, communications, and proposals (oral or written), including prior Terms of Service versions.

Ambiguities in Terms of Service interpretation shall not be construed against the drafting party.

Section 17 - Governing Law

These Terms of Service and any separate agreements whereby services are provided shall be governed by and construed in accordance with the laws of the United States of America and the laws of the State of New Mexico.

Jadapex LLC is a Limited Liability Company duly formed and registered under the laws of New Mexico, operating as a digital commerce entity without physical business premises. The company operates in full compliance with all applicable federal and state regulations governing e-commerce, consumer protection, data privacy, and digital business operations within the United States.

Section 18 - Changes to Terms of Service

The most current Terms of Service version is always available on this page.

Rights are reserved to update, change, or replace any Terms of Service portion at sole discretion through website posting. Periodic website review for changes is the customer's responsibility. Continued website usage or service access following Terms of Service change posting constitutes acceptance of those changes.
